01Agreement to terms
These Terms & Conditions (“Terms”) form a binding agreement between you (either an individual or an entity) and Qalam IO LLC (“Qalam I/O”, “we”, “us”). By accessing or using our website at qalamio.com, our waitlists, our self-hosted or cloud-hosted products, or our consulting services, you agree to these Terms. If you do not agree, do not use our website, products, or services.
If you accept these Terms on behalf of an entity, you represent that you have authority to bind that entity.
02Who we are
Qalam IO LLC is a limited liability company formed in the State of Wyoming, USA, operating the Qalam I/O brand, website, and products.
03The services
We offer:
- Self-hosted products (“Qalam YOURS”) — software you deploy on your own infrastructure under a one-time license (e.g., Qalamlist, Go Links, Qalamail, i18ny).
- Cloud-hosted (SaaS) products (“Qalam SaaS”) — hosted by us and accessed through a browser (e.g., Maameel).
- Consulting, mentoring, and workshops — advisory and educational services.
- This website — including waitlists, contact forms, and content.
Specific products may have additional product-specific terms that supplement these Terms.
04Eligibility
You must be at least 16 years old (or the age of digital consent in your jurisdiction) and legally able to enter contracts to use our services. By using them, you represent that you meet these requirements.
05Accounts
For cloud-hosted products, you may need to create an account. You agree to provide accurate information, keep your credentials secure, and be responsible for activity under your account. Notify us promptly of any unauthorized use.
06License (self-hosted products)
Subject to your payment of the applicable fee and compliance with these Terms, Qalam IO LLC grants you a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to install and run the self-hosted software for your own internal business or personal use, on infrastructure you own or control, in accordance with the quantity and limits stated at purchase (by default, a single deployment per license).
07License restrictions
You agree not to:
- Copy, redistribute, resell, lease, rent, lend, or sublicense the software, in whole or in part.
- Use the software to offer a competing hosted or on-premises product or service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code (except to the extent law prohibits this restriction).
- Remove, alter, or obscure copyright, trademark, or attribution notices.
- Use the software beyond the licensed scope (e.g., more deployments than purchased).
- Use the software in violation of applicable law or these Terms.
08Ownership & intellectual property
All right, title, and interest in and to the software, website, and content — including intellectual property rights — remain the exclusive property of Qalam IO LLC or its licensors. These Terms grant you only the limited rights expressly stated; no other license is granted, whether by implication or otherwise. Your feedback or suggestions may be used by us without restriction or obligation.
09Third-party & open-source components
Our products may include third-party and open-source components under their own licenses. Those terms apply to the relevant components. Nothing in these Terms overrides third-party license requirements.
10Updates & new versions
Self-hosted licenses include free updates within the same major version (e.g., bug fixes, features, and security patches). Upgrades to a new major version may require a separate paid upgrade. You are not required to upgrade, but older versions may have limited support.
11Cloud-hosted (SaaS) products
Cloud products are hosted by us and provided on a subscription or pay-as-you-go basis as described at sign-up. We may change features, usage limits, and pricing with reasonable notice. SaaS product data is governed by our Privacy Policy. We aim to maintain reasonable uptime but do not guarantee uninterrupted availability.
12Your responsibilities (self-hosted)
For self-hosted products, you are solely responsible for:
- Provisioning, securing, and maintaining your own servers and infrastructure.
- Backups, disaster recovery, and data integrity.
- Configuring security, encryption, and access controls.
- Your end-users’ data and compliance with privacy laws applicable to your deployment.
- Installing updates in a timely manner.
You acknowledge that Qalam IO LLC has no access to or control over your self-hosted deployment and is not a data controller or processor of data processed by it.
13Acceptable use
You will not misuse our website or products, including by:
- Attempting to disrupt, overload, or gain unauthorized access to systems.
- Sending spam, phishing, malware, or other abusive content.
- Using services to violate any law or the rights of others.
- Circumventing security, billing, or usage controls.
Violations may result in suspension or termination and legal action where appropriate.
14Payment & taxes
Fees are described at the point of purchase and are payable in advance via our payment processor. Unless stated otherwise, fees are non-refundable except as required by law. You are responsible for any taxes applicable to your purchase.
15Refunds
Self-hosted products are digital goods delivered instantly. All sales are final, and no refunds are provided except: (a) where required by applicable law; or (b) where we explicitly offer a refund for a specific promotion, campaign, or case at our sole discretion.
We encourage you to ask questions and try any available demo before purchasing. We are available to support you before and after your purchase. If you experience a genuine technical problem that prevents the software from working as described, contact us at info@qalamio.com and we will work with you in good faith.
16EU/UK digital content acknowledgment
Where required by EU/UK consumer law, by proceeding with a digital download you acknowledge and expressly agree that delivery of the digital content begins immediately after purchase and that you consent to waive your statutory right of withdrawal for that content to the extent permitted by law. This does not affect your rights regarding non-conforming goods under mandatory law.
17Consulting, mentoring & workshops
Consulting services are advisory and educational. We will use reasonable skill and care, but we do not guarantee specific business, financial, or technical outcomes. Our advice is not legal, financial, or tax advice; obtain qualified professional advice for those matters. You are responsible for decisions made based on our guidance.
18Third-party services & links
Our website and products may link to or integrate with third-party services we do not control. We are not responsible for their content, practices, or availability. Your use of third-party services is at your own risk and subject to their terms.
19Disclaimers
Our website and products are provided “as is” and “as available”, with all faults and without warranties of any kind. To the maximum extent permitted by law, Qalam IO LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be error-free, secure, uninterrupted, or achieve any particular result.
20Limitation of liability
To the maximum extent permitted by law, in no event will Qalam IO LLC, its affiliates, or their directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, business, or goodwill, arising out of or related to these Terms or the services, whether in contract, tort, or otherwise.
Our total aggregate liability arising out of or related to these Terms or any service will not exceed the greater of (a) the amounts you have paid to us for the relevant product or service in the twelve (12) months preceding the claim, or (b) USD $50. The foregoing limitations apply even if a remedy fails of its essential purpose.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the extent permitted by law.
21Indemnification
You agree to indemnify, defend, and hold harmless Qalam IO LLC and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of: (a) your misuse of the services; (b) your violation of these Terms or applicable law; (c) your infringement of third-party rights; or (d) data and activity in your self-hosted deployment.
22Term & termination
These Terms are effective while you use our services. We may suspend or terminate access at any time for breach of these Terms, legal reasons, or to protect our services. Upon termination, your licenses end, and you must stop using the software and delete it from your systems. Provisions that by their nature should survive (including ownership, disclaimers, liability, indemnity, and governing law) will remain in effect.
23Modifications to terms & services
We may update these Terms from time to time. Material changes will be posted with a revised “Last updated” date. Your continued use after changes take effect constitutes acceptance. We may also modify or discontinue products and features with reasonable notice; for paid self-hosted licenses, material changes will not reduce core functionality during the licensed major version.
24Governing law
These Terms and any dispute arising out of or related to them are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
25Dispute resolution
The parties will first attempt to resolve any dispute in good faith through informal negotiation, initiated by written notice. If not resolved within thirty (30) days, the dispute will be submitted to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA, to which the parties irrevocably submit. You waive any objection to venue or inconvenient forum in those courts.
26General terms
- Entire agreement. These Terms (and any product-specific terms) are the entire agreement regarding the services.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- Waiver. Our failure to enforce a right is not a waiver of it.
- Assignment. You may not assign or transfer these Terms or your rights without our written consent; we may assign them freely in connection with a merger, acquisition, or sale of assets.
- Notices. Legal notices to us may be sent to our principal office or Registered Agent below; notices to you may be sent to your account email.
- Electronic acceptance. You acknowledge that you have accepted these Terms electronically, which has the same legal effect as a handwritten signature.
- Relationship. The parties are independent contractors; no agency, partnership, or joint venture is created.
